Educational tools, not professional services
Every calculator, checker, and guide on this Site exists to help you understand, in general terms, the cost, dilution, timeline, and eligibility mechanics of taking a company public on OTCQB, OTCQX, or a Nasdaq market tier. None of it constitutes engagement of, or a substitute for, a broker-dealer, investment bank, law firm, accounting firm, transfer agent, or investment adviser. Using a calculator on this Site does not create any professional relationship, engagement, or duty between you and GoPublic Tools.
No warranty of accuracy
The Site is provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. Regulatory fee schedules, listing standards, minimum bid prices, holder-count thresholds, and cost ranges shown on this Site are drawn from the sources cited in each calculator and guide, but exchanges, OTC Markets Group, and regulators change these figures without notice, and we make no guarantee that any figure displayed reflects the current, controlling rule at the moment you view it.
Figures carry as-of dates — rules change
Every regulatory figure on this Site is dated. Look for the "as of" tag next to a number, or the site-wide figures date in the footer, currently . That date tells you when the underlying figure was last checked against its source, not when it will next change. Listing standards, minimum bid prices, and fee schedules are amended by exchanges and OTC Markets Group on their own schedules — sometimes with only weeks of advance notice — and this Site has no obligation to update a figure the moment a rule changes. Always verify a load-bearing number directly against the primary source (Nasdaq's Listing Center, OTC Markets' published Rules, FINRA, or SEC.gov) before you rely on it for a filing, budget, or board decision.
No advice, no reliance
Nothing on this Site is investment, legal, accounting, or tax advice, and nothing here should be relied upon as a substitute for advice from a licensed professional engaged specifically for your situation.
